Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the MatchMade platform ("Platform") operated by MatchMade ("we," "our," or "us"), accessible at gomatchmade.com. By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You may use the Platform only if you:

• Are at least 18 years of age.
• Are a real estate professional (owner, broker, agent) or a prospective buyer/tenant acting in good faith.
• Are not prohibited from using the Platform under applicable law.
• Have not had a previous account suspended or terminated.

3. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@gomatchmade.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for an extended period with advance notice where practicable.

4. Acceptable Use

You agree not to:

• Submit false, misleading, or fabricated listings or requirements.
• Use the Platform to circumvent agreed-upon commissions or professional relationships established through the Platform.
• Scrape, harvest, or systematically extract data from the Platform without our written consent.
• Use automated bots or scripts to create accounts, generate listings, or interact with the matching engine.
• Share credentials, impersonate another person, or misrepresent your professional qualifications.
• Upload content that infringes intellectual property rights, contains malware, or is otherwise unlawful.
• Attempt to reverse-engineer, circumvent security measures, or exploit vulnerabilities in the Platform.
• Abuse the credit system by publishing listings in bad faith solely to earn credits, or by any other manipulative means.

5. Listings & Content

5.1 Your content

You retain ownership of the listings, photos, descriptions, and other content ("Content") you submit to the Platform. By submitting Content, you grant MatchMade a non-exclusive, worldwide, royalty-free licence to store, display, and process your Content solely to operate the Platform and provide services to you.

5.2 Accuracy

You are solely responsible for the accuracy of your listings and requirements. MatchMade does not verify the existence, legal title, pricing, or condition of any property listed on the Platform. Always perform your own due diligence.

5.3 Private listings

When you mark a listing as private, its identifying details (address, photos, broker identity) will only be disclosed to matched parties you explicitly approve. MatchMade maintains timestamped records of all disclosure events. These records are informational only and do not constitute legal evidence or create any rights or obligations between parties.

5.4 Content removal

We reserve the right to remove Content that violates these Terms or applicable law, or that we determine in our sole discretion is harmful to the Platform or its users.

6. Credits

The Platform uses a credit system to facilitate certain actions (e.g., publishing requirements, requesting match details). Credits are platform tokens — they are not currency, have no monetary value, and cannot be transferred, exchanged, or redeemed for cash.

Credits earned through legitimate activity (e.g., listing rewards) may be subject to quality requirements and time delays to prevent abuse. We reserve the right to adjust credit amounts, earning rules, and costs at any time with reasonable notice. Credits that were earned through policy violations may be reclaimed at our discretion.

7. Matching & Introductions

The matching engine surfaces potential matches between listings and requirements based on weighted criteria. MatchMade makes no guarantee that any match will result in a transaction, that matching scores are accurate, or that all suitable matches will be surfaced.

An introduction facilitated through the Platform does not create an exclusive relationship between parties. MatchMade is not a party to any transaction between users and accepts no liability for the outcome of any deal.

8. Professional Conduct

Users who are licensed real estate brokers or agents are expected to comply with the laws and regulations of their jurisdiction, including relevant codes of professional conduct (e.g., PRC/PRB rules in the Philippines). MatchMade does not verify professional licences and is not liable for the conduct of licensed professionals on the Platform.

The Platform records the timeline of introductions and disclosures as a factual log. These records are not legal documents and do not establish or resolve commission disputes. Any disputes between professionals regarding commissions, exclusivity, or representation must be resolved between those parties in accordance with applicable law.

9. Fees & Subscriptions

The Platform is currently offered in Open Beta. Core features are free to use during this period. We may introduce paid plans in the future; we will provide at least 30 days' notice before any previously free feature becomes paid. Any fees charged will be governed by a separate subscription agreement presented at the time of purchase.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

MATCHMADE IS A MATCHING AND COMMUNICATION PLATFORM ONLY. WE ARE NOT A REAL ESTATE BROKER, AGENT, OR ADVISER. NOTHING ON THE PLATFORM CONSTITUTES LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATCHMADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) PHP 5,000.

12. Indemnification

You agree to indemnify and hold harmless MatchMade and its affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your Content, your violation of these Terms, or your violation of any rights of another party.

13. Termination

Either party may terminate this agreement at any time. You may delete your account through the Platform settings. We may suspend or terminate your access immediately for material violations of these Terms, with or without prior notice.

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Sections 10, 11, 12, and 15) will survive.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

15. Changes to These Terms

We may revise these Terms from time to time. For material changes, we will provide at least 14 days' notice by email or in-platform notification before the revised Terms take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
